Where
Most small businesses incorporate in the province where they operate. Federal incorporation lets you use the name across Canada but adds paperwork in each province you work in.
Named vs. numbered
Named
Needs a name search and approval so it doesn't clash with an existing business or trademark. The extra step adds cost and time.
Numbered
Gets an assigned number as its legal name, like 1234567 Alberta Ltd. It skips the name search and can still operate under a registered trade name.
Articles
This is the core filing: the corporation's name (or number), its share structure, and its directors. Registry agents and online filers can do it for a fee plus the government charge.
People
In many small corporations the owner is both the sole director and the sole shareholder. Requirements vary by jurisdiction, so check where you're filing.
After filing
A CRA business number and corporate tax account, a corporate bank account, and a minute book with your share register and director records.
Costs
Filing fees, an annual return in your province, a corporate tax return, and usually an accountant. Get quotes before you decide.
